Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On May 8, 2012, upon the recommendation of the Compensation Committee, in
connection with the annual review of executive compensation, the Board of
Directors authorized a base salary increase for Mr. William D. Miller from
$490,000 to $539,000. The base salaries for the Company's other named executive
officers remain at their fiscal 2012 levels.
