Item 8.01. Other Events

On May 3, 2012, KLA-Tencor Corporation (the "Company") issued a press release announcing that the Company's Board of Directors has declared a cash dividend of $0.35 per share on the Company's Common Stock. Such dividend shall be payable on June 1, 2012 to the Company's stockholders of record as of the close of business on May 14, 2012. A copy of the press release is attached hereto as Exhibit 99.1.
