On April 24, 2012, Mr. Greg Myers notified Fortinet, Inc. (the "Company") that
he will not stand for re-election to the Company's Board of Directors and
tendered his resignation effective June 14, 2012, immediately prior to the
Company's 2012 Annual Meeting of Stockholders.
