At the Annual Meeting of Stockholders held on April 25, 2012, R. Randall Rollins, Richard K. Struthers and Henry B. Tippie were re-elected as directors by our stockholders. Directors whose terms of office continued after the meeting were Patrick J. Bagley, Kenneth K. Chalmers, Denis McGlynn, Jeffrey W. Rollins and John W. Rollins, Jr.
