("Bancorp") held its Annual Meeting of Shareholders on April 24, 2012, at which time it (a) elected three (3) individuals to serve a three-year term as directors, (b) elect one (1) individual to serve for a two year term as director; (c) elected one individual to serve for a one year term as director; (d) ratified the appointment of ParenteBeard LLC as Bancorp's independent auditor for the fiscal year ending December 31, 2012; and (e) approved a non-binding advisory vote on Bancorp's executive compensation.
