Item 5.02 Departure of Directors or Certain Officers
On February 20, 2012, Jan A. Bertsch, Vice President and Controller of BorgWarner Inc. (the "Company"), resigned her positions with the Company effective immediately to accept a Chief Financial Officer position at a company outside of the automotive industry.
Effective immediately, Robin J. Adams, Executive Vice President, Chief Financial Officer and Chief Administrative Officer of the Company will serve as Interim Corporate Controller and Principal Accounting Officer.
