(b) On February 1, 2012, John A.C. Swainson, a member of the Board of Directors
(the "Board") of Assurant, Inc. (the "Company") since 2010, notified the Board
that he has accepted a position as President, Software Group of Dell, Inc.,
effective March 2012, and will therefore not stand for reelection when his
current term expires as of the Company's annual meeting on May 10, 2012.
The Company is grateful to Mr. Swainson for his diligent service and valuable
contributions during his tenure as a director and as Chair of the Board's
Nominating and Corporate Governance Committee.
