Item 8.01 Other Events.

On December 4, 2009, the Company held a special meeting of stockholders, at which a proposal to amend the Company's Articles of Incorporation to increase the number of authorized shares of the Company's common stock from 20,000,000 to 50,000,000 was considered and approved. Following the special meeting, the Company filed with the Secretary of State of the State of North Carolina Articles of Amendment to the Company's Articles of Incorporation increasing the number of authorized shares of the Company's common stock from 20,000,000 to 50,000,000, which became effective upon filing. A copy of the Company's Articles of Incorporation, as amended, is set forth in Exhibit 3.1 hereto and is incorporated herein by reference.
