Item 2.02 Results of Operations and Financial Condition.

On November 16, 2009, Phoenix Footwear Group, Inc. (the Company) issued a press release announcing its final financial results for the three and nine months ended October 3, 2009. A copy of the Company's press release is attached hereto as Exhibit 99.1 to this current report on Form 8-K.
