(b) On November 6, 2009, Lois M. Martin announced her intention not to stand for re-election to the Board of Directors of MTS Systems Corporation (the "Company"). Ms. Martin is taking this action in response to conflicting commitments, and not as a result of any disagreements with the Company on any matter relating to the Company's operations, policies or practices. Ms. Martin's tenure as a member of the Company's Board of Directors will expire at the next annual meeting of shareholders scheduled for February 10, 2010.
