On November 9, 2009, Presidential Life Corporation (the "Corporation") issued a press release announcing the Corporation's financial results for its fiscal third quarter ended September 30, 2009. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November 6, 2009, the Board of Directors of the Corporation approved amendments to the Corporation's bylaws, effective immediately. The bylaws were amended to provide for a record date for stockholder actions by written consent.
A copy of the Corporation's amended and restated bylaws as of November 6, 2009 is attached as Exhibit 3.1 to this Current Report and is incorporated herein by reference.

On November 4, 2009, the Independent Directors of the Corporation appointed William M. Trust, Jr. to the newly created position of Lead Independent Director.
