Item 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On November 6, 2009, First Commonwealth Financial Corporation issued a press release updating the previously-announced financial results for the three and nine month period ended September 30, 2009. This update reflects the impact of two events which occurred subsequent to the release of its preliminary financial results on October 22, 2009. A copy of this press release and the related earnings tables are furnished as Exhibit 99.1 to this report and incorporated herein by reference.
