Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 3, 2009, William F. McConnell, Jr., the Company's Senior Vice
President for Sales, Marketing and Business Strategies, CRM and one of our named
executive officers, informed his management team of his decision to retire from
the Company as of December 31, 2009. Mr. McConnell will be eligible to receive
payments under our Executive Retirement Plan.
