Item 2.01. Completion of Acquisition or Disposition of Assets.
On October 31, 2009, the Company consummated its previously announced sale of
the assets of its Asia Pacific subsidiaries, which constituted the Company's
Asia Pacific division, to Travelzoo (Asia) Limited and Travelzoo Japan K.K.,
wholly-owned subsidiaries of Azzurro Capital Inc, for an aggregate purchase
price of $3,600,000, subject to a working capital adjustment. For further
