Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 28, 2009, the Compensation Committee of our Board of Directors
amended and restated our 2000 Employee Stock Purchase Plan, or ESPP. Among other
things, the amended and restated ESPP reflects amendments to (i) extend the term
of the ESPP for 10 years from the first trading day in August 2010 to the first
trading day in August 2020 and (ii) stop the annual "evergreen" share
reservation increase under the ESPP following the increase that will take place
on the first day of our 2010 fiscal year, which begins on January 4, 2010.
