On October 30, 2009, Quest Cherokee, LLC ("Quest Cherokee"), Quest Energy Partners, L.P. (the "Partnership") and Quest Cherokee Oilfield Service, LLC ("QCOS") entered into a Fourth Amendment to Second Lien Senior Term Loan Agreement (the "Fourth Amendment") to extend the maturity date of the Second Lien Senior Term Loan Agreement, as amended, from October 31, 2009 to November 16, 2009. The Partnership paid the lenders a $37,250 amendment fee. The Fourth Amendment is among Quest Cherokee, as borrower, the Partnership and QCOS, as guarantors, Royal Bank of Canada, as administrative agent and collateral agent, KeyBank National Association, as documentation agent, Société Générale, as documentation agent, and the lenders party thereto.
