(b) On October 28, 2009, ZymoGenetics, Inc. (the "Company") received notice of
the resignation from the Company's Board of Directors of Judith A. Hemberger,
Ph.D. Dr. Hemberger's resignation was effective October 28, 2009.
Dr. Hemberger's resignation is for personal reasons and is not related to any
disagreement with the Company or its management on any matter relating to the
Company's operations, policies or practices.
