On October 30, 2009, Mead Johnson Nutrition Company issued a press release announcing the pricing of an offering pursuant to Rule 144A and Regulation S of $500 million of 3.50% Notes due 2014, $700 million of 4.90% Notes due 2019 and $300 million of 5.90% Notes due 2039. A copy of the press release is furnished as Exhibit 99.1 to this report and incorporated herein by reference.

The Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), and may not be offered or sold in the United States absent registration under, or an applicable exemption from, the registration requirements of the Securities Act.
