Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Raytheon Company (the "Company") is filing this amendment to its Current Report
on Form 8-K filed on July 31, 2009, which reported the election of Stephen J.
Hadley as an independent director to the Company's Board of Directors (the
"Board"). At the time of his election, the Board had not decided on which of the
Board's standing committees Mr. Hadley would serve.
On October 28, 2009, the Board voted to appoint Mr. Hadley to the Board's Audit
Committee and Public Affairs Committee effective immediately as of such date.
