On October 26, 2009, Martin M. Zorn, Chief Operating Officer and Chief Financial Officer notified Integra Bank Corporation (the "Company") of his intention to resign effective November 13, 2009. Mr. Zorn has indicated his desire to pursue another business opportunity.

The Company issued a press release on October 28, 2009, with respect to the foregoing matter. A copy of the press release is filed as Exhibit 99.1 and is hereby incorporated by reference into this Item 5.02.
