Item 8.01 OTHER EVENTS.

On October 29, 2009, the company issued a press release announcing it has engaged Morgan Joseph & Co. Inc. on an exclusive basis to act as its financial advisor to assist it in identifying and evaluating potential targets for acquisition or other business combination. The Company has terminated its previously announced engagement of vFinance Investments, Inc. A copy of the press release is attached as Exhibit 99.1.
