Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 26, 2009, the Board of Directors of the Company amended Article VII of the Company's Bylaws (the "Bylaws") to conform the indemnification provisions set forth in Section 7.2 of the Bylaws with Section 145(b) of the Delaware General Corporation Law and to clarify certain provisions relating to
(a) advances of costs, charges and expenses set forth in Section 7.5 of the Bylaws, (b) the procedure for indemnification set forth in Section 7.6 of the Bylaws, and (c) the maintenance of insurance set forth in Section 7.8 of the Bylaws. Sections 7.1 and 7.2 of the Bylaws were also amended to provide that the right to indemnification set forth in such Sections applied to actions taken by directors, officers, employees and agents of the Company or by persons serving at the request of the Company as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise, including service with respect to an employee benefit plan, whether the basis of the threatened, pending or completed action, suit or proceeding involving such person is alleged action in an official capacity as a director, officer, employee or agent or in any other capacity while serving as a director, officer, employee or agent of the Company.

The amendments to the Bylaws became effective October 26, 2009.
