Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 27, 2009, the Board of Directors of Navigant Consulting, Inc. (the "Company") elected Dr. Cynthia A. Glassman as a director of the Company. Dr. Glassman has been elected to serve for the remaining term of the class of directors elected in 2009, which term shall expire at the annual meeting of shareholders to be held in 2012. In connection with this election to the Board, the Board of Directors of the Company authorized a grant of shares of restricted stock equal to $131,250 and options equal to $43,750, each granted on October 27, 2009. Dr. Glassman has also been elected to serve on the Company's Nominating and Governance Committee. Dr. Glassman had no transactions with related persons.
