Item 2.02. Results of Operations and Financial Condition

On October 27, 2009, Intelli-Check - Mobilisa, Inc. (the "Company") issued a press release announcing that it would release its third quarter financial results and hold its investors' conference call on November 10, 2009. In the release, the Company stated that its initial results indicate that the 2009 3rd Quarter revenues will exceed last year's 3rd Quarter revenues and that it will be profitable for both the 2009 3rd Quarter and year to date periods. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
