Item 8.01 Other Events.
On October 27, 2009, the Inspectors of Election certified the final results of
the balloting at the annual meeting of shareholders of Texas Industries, Inc.
(the "Company") held on October 22, 2009. Marjorie L. Bowen, Dennis A. Johnson
and Gary L. Pechota were elected directors to terms expiring at the annual
shareholders meeting in 2012.
In addition, the proposal regarding the selection of Ernst & Young as the
independent auditors of the Company and the three nonbinding shareholder
proposals regarding declassifying the Board of Directors, implementing majority
voting for directors and submitting the shareholder rights agreement to a vote
of the shareholders were all approved.
