On October 27, 2009, Standard Motor Products, Inc. (the "Company") issued a press release announcing its financial results for the three months and nine months ended September 30, 2009. A copy of such press release is furnished as Exhibit 99.1 hereto.

Such press release shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.

Item 8.01. Other Events

On October 27, 2009, the Company issued a press release announcing its plan to offer 4,000,000 shares of its common stock in an underwritten registered public offering. In connection with this offering, the Company also intends to grant the underwriters a 30-day option to purchase up to 600,000 additional shares. The Company intends to use the net proceeds from the offering to repay a portion of its outstanding indebtedness under its revolving credit facility. The Company then intends to borrow funds from time to time under its revolving credit facility for general corporate purposes.
