On October 27, 2009, Ecology and Environment, Inc. (the "Company") filed a Current Report on Form 8-K (date of Report October 15, 2009), after its due date of October 21, 2009, reporting that Harvey J. Gross, a non-executive director, was choosing not to stand for re-election as a Class B Director at the Annual Meeting of Shareholders on January 21, 2010 but that he would serve out his term until then.
