Item 2.02 Results Of Operations And Financial Condition.

On October 26, 2009, American Financial Group, Inc. (the "Company") issued a news release announcing its financial results for the quarter ending September 30, 2009. The news release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01 Other Events.

In the news release, the Company also announced today that its Board of Directors has approved an increase in the Company's annual dividend from $.52 to $.55 per share of common stock. The increased dividend, when declared, will be paid on a quarterly basis of $.1375 per share of common stock beginning in January of 2010. This fifth consecutive annual dividend increase represents a six percent increase over the dividend paid in 2009.
