Departure of Director
On October 23, 2009, Mr. Carl Icahn notified Yahoo! Inc. (the "Company") that he
was resigning from the Company's Board of Directors effective immediately.
Mr. Icahn is resigning to focus his attention on other matters and not due to
any disagreement with the Company on any matter related to the Company's
operations, policies or practices.
