Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 21, 2009, Richard E. Salomon informed Boston Properties, Inc. (the "Company") that he will not stand for re-election to the Board of Directors upon the conclusion of his term at the 2010 annual meeting of stockholders in order to devote more time to his other business interests. Mr. Salomon has confirmed that his decision was not due to a disagreement with the Company on any matter relating to the Company's operations, policies or practices.
