Item 1.01 Entry into a Material Definitive Agreement.
On October 22, 2009, AMERIGROUP Corporation, through its subsidiary, AMGP
Georgia Managed Care Company, Inc., received an executed amendment to its State
of Georgia Department of Community Health contract for the provision of HMO
services to Georgia Healthy Families. The amendment, among other things, revises
capitation rates effective for the 2010 contract year beginning July 1, 2009.
The value of the retroactive rate adjustment for the period from July 1, 2009
through September 30, 2009 will be reflected in the Company's fourth quarter
financial results.
