(b) Effective October 16, 2009, Yoav M. Cohen, a financial consultant to the
Company and formerly the Chief Financial Officer, is reducing his consulting
services provided to the Company to one day per week. Mr. Cohen will receive
severance payments in the amount specified in his consulting agreement (as filed
with the SEC in the Company's Quarterly Report on Form 10-Q for the quarter
ended September 30, 2008) beginning November 16, 2009 in 18 semi-monthly
payments.
