Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 21, 2009, Dean Foods Company (the "Company") announced that it had appointed Joseph E. Scalzo to the new position of Chief Operating Officer, effective November 1. Mr. Scalzo, 51, has served as the President and CEO of the Company's WhiteWave-Morningstar segment since February of 2008. Mr. Scalzo joined the Company in October 2005 as President and CEO of its WhiteWave Foods Company subsidiary. Prior to joining the Company, he was employed by The Gillette Company from 2001 to October 2005, serving most recently as Group President, Personal Care and Global Value Chain. Prior to joining The Gillette Company, Mr. Scalzo served in various capacities at the Coca-Cola Company from 1997 to 2001, including Senior Vice President and Chief Marketing Officer of The Minute Maid Company. He began his career at Procter & Gamble in 1985 where he held various leadership positions. Mr. Scalzo's compensation will be determined by the Compensation Committee of the Company's Board of Directors at its next meeting.
