(b) Departure of Officer. Effective October 16, 2009, James M. Uveges, Senior Vice President/Chief Financial Officer will no longer be employed by the Company or the Bank.

Francis X. Ryan, CPA and a member of the board, will be the interim Chief Financial Officer until a replacement is found.
