ITEM 8.01 OTHER EVENTS.

On October 15, 2009, Central Bancorp, Inc. (the "Company") issued a press release announcing that its Board of Directors has declared a quarterly common stock dividend of $0.05 per share payable on or about November 20, 2009 to stockholders of record on November 6, 2009. A copy of the Company's press release is attached to this Report as Exhibit 99.1 and is furnished herewith.
