Item 1.02 Termination of a Material Definitive Agreement.

On October 15, 2009, Ferrellgas, L.P. prepaid the outstanding principal amount and related make-whole payment on its $82.0 million 7.24% Senior Notes, Series D, due August 1, 2010, and its $70.0 million 7.42% Senior Notes, Series E, due August 1, 2013. Ferrellgas, L.P. funded this transaction using proceeds from its September 2009 issuance of $300.0 million in aggregate principal amount of 9.125% Senior Notes due 2017.
