Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.
On October 16, 2009, Timothy E. Vail, a current director of Synthesis Energy
Systems, Inc. (the "Company"), notified the Company that he has decided not to
stand for re-election to its board of directors at the Company's annual meeting
of stockholders for the year ended June 30, 2009, but has indicated that he will
serve until the end of his term, which will expire at such meeting.
