Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 12, 2009, Mr. Mitchell H. Saranow, a member of the Board of Directors
(the "Board") of Lawson Products, Inc. (the "Company"), notified the Company
that he does not intend to stand for reelection to the Board at the Company's
2009 annual meeting of stockholders scheduled for December 8, 2009. Mr.
Saranow's decision not to stand for reelection is not the result of any
disagreement with the Company.
