(b) On October 9, 2009, John R. Hesse and Craig R. Stokely notified the board of
directors of Chromcraft Revington, Inc. (the "Company") of their respective
decisions to retire as directors of the Company, effective December 31, 2009.
Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal
Year.
On October 9, 2009, the board of directors of the Company approved an amendment
to Section 2 of Article III of the Company's By-Laws to reduce the number of
directors of the Company from seven to five. The amendment is effective as of
December 31, 2009. The board of directors determined that it was appropriate to
decrease the size of the board given the Company's current size, as well as to
reduce costs.
