Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 9, 2009, James C. Burrows informed us he has decided to step down from his positions as President, Chief Executive Officer and Director as of the end of our fiscal year ended November 28, 2009. Effective on November 29, 2009, Dr. Burrows will assume the role of Vice Chairman.

On October 9, 2009, our board of directors determined that starting on November 29, 2009, the first day of our 2010 fiscal year, our current Executive Vice President and Chief Operating Officer, Paul A. Maleh, will become our President and Chief Executive Officer as well as a member of our board of directors as a Class III director.
