On October 16, 2009, Boise Inc. issued a news release announcing that its wholly owned subsidiaries, Boise Paper Holdings, L.L.C. and Boise Finance Company (together, the "Issuers"), are proposing to issue Senior Notes due 2017 (the "Notes") in a private offering that is exempt from registration requirements of the Securities Act of 1933, as amended (the "Securities Act"). The Issuers intend to offer the Notes within the United States to qualified institutional buyers in accordance with Rule 144A, and outside the United States in accordance with Regulation S of the Securities Act.
