Item 8.01. Other Events.

On October 14, 2009, the Compensation Committee of the Board of Directors of Briggs & Stratton Corporation (the "Company") approved a modification to the Company's form of change of control agreement executed with new officers of the Company after October 14, 2009. The modification eliminates the "gross-up" payment provisions for federal excise taxes. A copy of the form of change of control agreement is attached hereto as Exhibit 10.1 and incorporated herein by reference.
