Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 6, 2009, Mr. Francis S. Blake, a member of The Southern Company's (the "Company") Board of Directors and the Audit Committee of the Board of Directors, tendered his resignation from the Board of Directors of the Company, effective October 7, 2009. Mr. Blake's resignation is not as a result of any disagreement with the Company.
