Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On October 8, 2009, Thomas H. Mann, age 58, Executive Vice President - Genworth,
notified Genworth Financial, Inc. (the "Company") that he intends to retire in
February 2011. Mr. Mann is the leader of the Company's International segment.
The Company and Mr. Mann are planning for the orderly transition of his duties
and responsibilities prior to his retirement.
