(b) On October 6, 2009, the Company received a letter of resignation from Chris Phillips, dated September 28, 2009, resigning as of the date of the letter as a Director of MDwerks, Inc., a position he had held since April 24, 2008. There were no disagreements with the registrant on any matter relating to the registrant's operations, policies, or practices.
