Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 7, 2009, Mr. James T. Brophy, a member of the Board of Directors (the
"Board") of Lawson Products, Inc. (the "Company"), notified the Company of his
resignation from the Board and from each committee of the Board on which he
serves, with such resignation to be effective as of October 19, 2009. Mr. Brophy
serves on the Audit, Compensation, Nominating and Governance and Financial
Strategies Committees of the Board. Mr. Brophy's resignation is not the result
of any disagreement with the Company.
