On October 7, 2009, Mr. Jeffrey M. Parker resigned, effective immediately, as Chairman and a member of the Registrant's Board of Directors and its Executive and Audit Committees. Mr. Parker also resigned from all positions he held with subsidiaries of the Registrant.
