(d) On October 6, 2009, the Board of Directors of the Company (the "Board") elected Robin J. Adams to the Board as part of the class with a term expiring in April 2010. Mr. Adams has been appointed to serve on the Board's Audit and Pension and Benefits Committees. In connection with his election, Mr. Adams was granted restricted share units having a value of $50,000.

A copy of the press release announcing Mr. Adams' election to the Board of Directors is filed with this report as Exhibit 99.
