Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 2, 2009, Real Goods accepted D. Thompson McCalmont's resignation as a member of Real Goods' Board of Directors (the "Board"). The Board believes that Mr. McCalmont's resignation as a Board member is in Real Good's best interests in light of the Board's previous request that Mr. McCalmont depart as an executive officer of Real Goods.
