Item 8.01. Other Events.

On October 6, 2009, The Boeing Company (the "Company") issued a press release in which it announced a charge to third-quarter earnings in connection with the 747-8 program. The Company also announced a revised first flight and delivery schedule for the program. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
